1. These Terms
These terms apply in any contract of supply of goods or services made between us as supplier and you as buyer.
We may change these terms without notice to you before we accept your order.
These terms prevail over any terms put out by you, unless we agree in writing.
No employee, agent or contractor of us may vary or add to these terms without the prior written authority of our Managing Director.
2. Quotation
All quotations will be based on present costs of material, labour and ruling conditions of employment as we reserve the right to claim an adjustment to the price for any variation in the above or other factors affecting our costs which are outside our control.
3. Goods & Services
We may alter our range of goods and services on offer without any notice to you.
4. Orders
An order you give us is subject to our acceptance and we may decline an order. We reserve the right to supply an order in full or only in part.
You may not cancel an order, nor delay delivery, once we accept your order unless we agree.
5. Prices
We will invoice all orders at our current prices, which may alter without notice to you.
Prices include Goods and Services Tax (GST) unless otherwise noted.
All prices are shelf price ex-store. Delivery, packaging and insurance, where applicable, will incur additional costs.
6. Delivery
Delivery times are estimates only and we do not guarantee a particular delivery date or time. We will not be responsible for any loss or damage caused by later delivery.
The liability of this company for damage, loss, delay, non delivery or for any cause thereof ceases upon release of goods to authorised third party carriers. We may deliver goods by instalment, but if we fail to deliver a particular instalment by a date specified for delivery, you are not entitled to rescind the contract.
We will make goods available at our store. At your expense, you may cause the goods to be transported from our store to your premises.
All carriers from our store will be your agents only.
All freight charges and other delivery costs including insurance premiums shall be at the cost of the Customer, unless the parties shall otherwise agree. If special delivery methods or specific carriers are nominated by the Customer then the Customer will be liable for such charges. A claim for shortages in delivery must be in writing received by us within 14 days of dispatch from our store.
7. Title & Risk
Goods remain our property until you pay us the price in full. Until that time you are to hold our goods for us as owner and, if we require it, you are to store those goods in a way that they can be identified as our goods.
The risk in the goods passes to the Customer upon delivery to your or to the carrier commissioned by the Customer or upon delivery to the carrier commissioned by Southern Precision Pty Ltd. The Customer must ensure that adequate insurance protection is obtained.
8. Payment
You must pay us the price of goods or services on delivery unless we have approved extended terms of payment.If payment is overdue, we may charge you interest at our banker’s highest current overdraft interest rate from the date of default until we receive payment. Alternatively, in the case of default, we may enter your premises and retake possession of the goods concerned and then credit you our estimated re-sale value of those goods less our costs. In addition, if payment is overdue we may cancel or suspend delivery of other goods or service yet to be delivered to you.
9. Credit Accounts
In charging up goods on a credit account basis the following conditions will apply:-
Terms of trading are strictly net 30 days from invoice date.
Customers exceeding 30 days from statement date may incur interest set at our banker’s highest current overdraft interest rate until their account is cleared of the overdue balance.
Accounts which go beyond 60 days will risk their credit status and legal action may result.
Any legal costs, stamp duties or other expenses incurred by the company in respect of opening and maintaining an account in the name of the customer together with any collection costs, dishonoured cheque fees etc., incurred, shall be paid by the customer on demand.
10. Returns
Southern Precision Pty Ltd. Will only credit goods if returned in good and resaleable condition, in the original packaging, and when the original invoice number and date of supply are quoted.
Freight charges on returns are the responsibility of the purchaser.
All “Buy-In Goods” or procurements specifically purchased, manufactured, machined or cut to size are NOT RETURNABLE.
Where applicable, costs incurred by Southern Precision Pty Ltd in the return of items to the manufacturer will be passed on to the purchaser.
Freight and delivery fees are not eligible for credit.
Goods will only be accepted for credit WITHIN 14 DAYS OF RECEIPT OF GOODS (except at the discretion of Southern Precision Management).
Good returned for credit after 14 days will be subject to 20% surcharge.
If you return goods to us because of your ordering mistake or for some reason other than the goods being defective, we may charge you a surcharge of 10% of the price of goods.
Over 60 days – no credit will be issued (unless by special arrangement).
Goods returned for credit must be accompanied by a “Goods Return Authorisation Number” which can be obtained by contacting Southern Precision Pty Ltd prior to the return of goods.
Acceptance of delivery of goods returned for credit does not signify agreement to issue a credit note. A credit note will only be issued after the goods have been inspected and found satisfactory in the opinion of the company. In the event that a credit note is not issued the customer will be advised and the goods made available to him.
11. Consumer rights.
These conditions do not affect the rights, entitlement and remedies conferred on a Customer who is a Consumer under the Trade Practices Act or any relevant Legislation for the State in which such sale is made.
12. Liability
Southern Precision has no liability to the buyer or any third party for any loss or damage of any kind whatsoever. This includes without limitation to loss of profit and consequential loss caused by any act, negligent or otherwise, or omission by Southern Precision its employees in any way related to the supply or non-supply, performance or non-performance of any product or service provided in this agreement.
